Welcome to the Partner Portal for LEI Register India. By accessing or using the Partner Portal, located at https://admin.legalentityidentifier.in, you are bound by these terms and conditions. Please read them carefully before using the services offered on this platform.


1. Acceptance and use

1.1. Acceptance of terms

By logging into or using the Partner Portal, you accept and agree to be bound by these terms and conditions and any updates that may be posted occasionally. If you do not agree with any part of these terms, please do not use this portal.

1.2. Privacy and data protection

Your use of the Partner Portal is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal data. By using the portal, you consent to the collection and use of your personal data in accordance with this policy.

1.3. Account registration

You must register for an account to access the services on the Partner Portal. You will be required to provide accurate and complete information during the registration process. You are responsible for maintaining the confidentiality of your account login credentials and all activities under your account.

1.4. Use of the site

You agree to use the Partner Portal solely for lawful purposes and in a manner that does not infringe upon the rights of others or restrict others’ use and enjoyment of the portal. You agree not to engage in any fraudulent, abusive, or harmful activities while using the services provided by LEI Register India.


Services

The LEI service (https://admin.legalentityidentifier.in) is provided by LEI Register India Private Limited (LEI code 9845003A5176DAA0E442). LEI Register India Private Limited is an LEI Registration Agent. LEI Register India Private Limited operates in India under the trademark Partner Portal for LEI Register India. We partner with the Local Operating Unit(s) (LOU) Ubisecure Oy (RapidLEI) LEI: 529900T8BM49AURSDO55, Nasdaq CSD SE (Nasdaq LEI) LEI: 485100001PLJJ09NZT59.

LEI Register India offers services related to the Legal Entity Identifier (LEI) registration and management, as well as associated tools and features for our registered partners. You agree to use the services provided on the portal in accordance with the relevant laws, guidelines, and regulations.


2. LEI registration, renewal, and transfer process

2.1. To apply for a new LEI code, renew an existing LEI code, or transfer an LEI under LEI Register India’s management, the applicant must complete the relevant application form, submit their data, and pay via Net Banking, Bank transfer, Credit Card or Razorpay.

2.2. The applicant agrees that while submitting the form, they accept the terms and conditions of LEI Register India. The applicant confirms that the data submitted is correct and they have full authority to apply for an LEI code on behalf of the legal entity (customer). The applicant knows their contact details can be shared with the Local Operating Unit (LOU).

2.3. The applicant is aware and agrees to give all rights to LEI Register India to sign the terms and conditions of the selected LOU on their behalf. For example, Ubisecure Oy (RapidLEI)’s terms of service can be found here. The terms of service among LOUs are very similar as they all follow the Global Legal Entity Identifier Foundation’s (GLEIF) guidelines.

2.4. The applicant authorizes LEI Register India to manage the LEI of the legal entity on their behalf. For example, a new LEI applicant gives all rights to LEI Register India to apply for an LEI code on the legal entity’s behalf. An LEI renewal applicant gives all rights to LEI Register India to renew an LEI on the legal entity’s behalf. An LEI transfer applicant gives all rights to LEI Register India to transfer their LEI under LEI Register India’s management.

2.5. The applicant acknowledges and agrees that LEI Register India may utilize the services of different Local Operating Units (LOUs) for the issuance, transfer, or renewal of LEIs. LEI Register India will select the LOU that provides the best solution for each specific order and will notify the applicant of the responsible LOU via email and through the Order Status page after payment has been received.

2.6. An LEI transfer applicant is aware that an LEI transfer may entail a change of LOU. If an LEI renewal applicant applies to renew an LEI code with LEI Register India that is not under their management, the LEI needs to be transferred under LEI Register India’s management. The LEI can be transferred before or during the LEI renewal process. LEI Register India cannot renew an LEI code that is not under their management.

2.7. An LEI that is managed by LEI Register India can be renewed a maximum of 60 days before it expires. However, if the customer transfers and renews an LEI that is managed by a service provider that is different from LEI Register India and the “next renewal date” of the LEI is further than 60 days, days from the renewal period of the LEI may be lost.

2.8. LEI Register India will start with the LEI registration, renewal, and/or transfer process shortly after receiving the application and confirmation of the payment.

2.9. The applicant is aware that they may be contacted to provide a Letter of Authorization (Power of Attorney) or any other proof that shows they are authorized to apply for an LEI on behalf of the legal entity.

2.9.1. The applicant is aware that only the designated signatories can sign the Letter of Authorization under their respective identities. Impersonating an authorized signatory is prohibited and constitutes identity fraud.

2.9.2. The applicant acknowledges that the original copy of a signed Letter of Authorization (Power of Attorney) or Objection Note must be sent by post within the next 7 business days to one of the following office locations:

– LEI Register India Pvt Ltd, Office No. 107, First Floor, Workafella Goregaon, Besides AK Estate, Radisson Blu Hotel, Swami Vivekananda Rd, off Veer Savarkar Flyover, Udyog Nagar, Goregaon West, Mumbai, Maharashtra 400062

2.10. The applicant is aware that they may be contacted to provide additional documents. For example, LEI Register India may ask for documents that prove the registration of the legal entity, documents that show who the authorized representatives of the legal entity are, documents that show the creation date of the legal entity or documents that show when the legal entity’s data was amended.

2.11. The applicant is aware that if the legal entity has a direct and/or ultimate parent company that owns controlling shares (typically >50%) and consolidates the accounts of the child company, they are required to report Parental (Level 2) data. If the legal entity does not have any parent companies or cannot report them, it will be necessary to indicate a reason for not providing Parental (Level 2) data by choosing a reporting exception. Note that it is not possible to report parental (level 2) data via the LEI Registration API, and it has to be done manually in https://admin.legalentityidentifier.in.

2.11.1 .LEI Register India can contact the applicant to provide additional documents to verify consolidation.

2.12. The applicant is aware that if the legal entity is an international branch, they must report the head office’s LEI code. If they do not provide the head office’s LEI code, LEI Register India cannot proceed with the application. The head office’s LEI code must be in an ISSUED status.

2.13. The applicant is aware that if the legal entity is a fund, LEI Register India may request information on fund relationships (fund management entity, umbrella fund of a sub-fund, and/or master fund of a feeder fund).

2.13.1. LEI Register India can contact the applicant to provide additional documents to verify the fund relationship(s).

2.13.2. To report a relationship, an LEI is required from the fund management entity, umbrella fund, and master fund.

2.14. The LEI code will be provided as soon as possible. In 90% of cases, new LEI codes are issued within 1-24 hours. Validating parental and fund relationship data can take up to 48 hours. LEI renewals and transfers can take up to 7 days. If there are issues with data validation, or in rare cases, the processing times can be longer than usual.

2.15. Once the process has been completed, the applicant will receive a confirmation email.

2.16. The applicant is aware and agrees that the application is considered final once they have submitted the application and accepted the terms and conditions. Once LEI Register India has received the transfer application, it cannot be revoked. Once LEI Register India has received payment confirmation for a new LEI, LEI renewal, or renewal and transfer application, the application cannot be revoked. If the applicant has provided enough information to process the LEI application, the process cannot be stopped, and the LEI will be issued.

2.17. The applicant is aware that if they fail to provide any information they are requested, including all of the information requests mentioned above, LEI Register India and the relevant LOU will make reasonable efforts to complete the LEI application. This may result in setting the parental (level 2) details as non-public or in not publishing the fund relationship data. However, if the LEI cannot be issued, renewed, and/or transferred due to the applicant failing to provide the requested information, LEI Register India and the relevant LOU are not responsible for any damages.

2.18. The applicant is aware that once an LEI code has been issued, the LEI and the legal entity’s LEI-related reference data will be published in the GLEIF’s and LEI Register India’s websites. Once an LEI has been issued, it cannot be deleted or transferred to a different legal entity.

2.19. LEI Register India will send an email and/or SMS to the contact email and/or contact number provided 60 days before an LEI needs to be renewed (i.e., 60 days before the paid expiration date).

2.20. The applicant is aware that they agree to receive promotional calls on the number provided once they have submitted the application. These calls and SMS messages may originate from a third-party platform.


3. Automated renewals

3.1. For the convenience of customers, LEI Register India offers the opportunity to prepay the renewal fee in advance for up to 5 years.

3.1.1. If the customer has bought the LEI renewal service for multiple years, LEI Register India will cover the renewal cost for the period bought.

3.1.2. If the customer has ordered a multiyear renewal of their LEI (e.g., a 5-year LEI) from LEI Register India and transfers the LEI to a different service provider during the prepaid period, the multiyear contract is automatically canceled.

3.2. Whether the customer has bought the renewal service for multiple years (2-5), the LEI data will be updated annually. Hence, the “next renewal date” in the GLEIF database is usually the time of LEI issuance/last renewal + 365 days, but never more than 425 days in the future.

3.3. LEI Register India has full right to renew the legal entity’s LEI code and update reference data in the GLEIF database through the relevant LOU.

3.3.1. If the legal entity is registered, LEI Register India and the relevant LOU have the right to update the legal entity’s reference data based on the relevant registry.

3.3.2. If the legal entity’s data cannot be verified against a registry, LEI Register India and the relevant LOU will reasonably try renewing the LEI using the existing data. This may include setting the Parental (Level 2) data to non-public or not reporting the fund relationship data.

3.3.3. The customer agrees to notify LEI Register India in case there has been a change in data that cannot be validated from public registries and to provide the relevant updated information.

3.3.4. LEI Register India may contact the customer to provide updated information and/or documents (e.g., updated consolidated accounts, a reporting exception, a Letter of Authorization, proof of authorization, or any other data).

3.3.5. If the customer fails to provide the requested information and/or documents, the LEI may not be renewed. If, as a result of the customer failing to provide the requested information, the LEI is not renewed, LEI Register India and the relevant LOU are not responsible for any LEI-related damages. If the customer fails to provide the requested information in 60 days, LEI Register India has the right to cancel the contract. 


4. LEI certificate

4.1. After the application process has been completed and the LEI data has been published in the GLEIF’s database, a digital LEI certificate can be downloaded free of charge in the Partner Portal account. 


Fees and refunds

5. Fees

5.1. Fees to order a new LEI, transfer an LEI, or renew an LEI can be found here

5.2. The cost of a new LEI code includes the initial registration of an LEI and the annual renewal of the LEI for the chosen period. The cost of renewing an existing LEI code includes the annual renewal of the LEI for the selected period. Transferring an LEI is free if it is needed.

5.3. The indicated costs include the GLEIF fee.

5.4 The prices shown are without GST. 18% GST applies under the GST regulations. Please add your GST number under “Settings” if you wish to include your GST number in the Tax Invoice. This will help your entity claim input against GST paid.

5.5. LEI Register India can offer different prices to its partners.

6. Refund policy

6.1 To apply for a refund, contact [email protected]. Refund and cancellation requests can also be sent to SIXTH FLOOR, CCSG0615, BLOCK G, CITY CENTER SILIGURI, CITY CENTER SILIGURI, Matigara, Siliguri, Darjeeling, West Bengal, 734010.

6.2. Refunds will be issued within 7 days. Please note that refund times vary by bank and can take up to 30 days to arrive.

6.3. LEI Register India has the right to charge a refund fee of  ₹2700  per refund.

6.4. The customer can request a refund if they do not meet any of the conditions mentioned in point 6.5.

6.5. LEI Register India has the right to deny any refunds if:

6.5.1. The application has been counted as final.

6.5.2. The customer has ordered a multi-year renewal of their LEI (e.g., a 5-year LEI) and discovers later that they do not need an active LEI anymore.

6.5.3. The customer transfers the LEI to a different service provider before the end of their pre-paid renewal period.

6.5.4. Days from the renewal period of the LEI are lost because the customer transfers and renews an LEI managed by a service provider different from LEI Register India, and the “next renewal date” of the LEI is further than 60 days.

6.5.5. Days from the renewal period of an international branch’s LEI are lost because the head office’s LEI has been set to LAPSED status, and subsequently, the international branch’s LEI has been set to LAPSED status.

6.5.6. An LEI cannot be issued, renewed, or transferred due to the customer failing to provide the required information in the course of 60 days. The information required can include, but is not limited to:

  • a Letter of Authorization
  • proof of authorization
  • documents that show who the authorized representatives of the legal entity are
  • registration documents
  • documents that show the creation date of the legal entity
  • documents that show when amendments to the legal entity data were made
  • documents to verify consolidation or fund relationships
  • the LEI of the head office or umbrella fund
  • any other documents/ information related to the legal entity.

6.6. The refund period, as detailed under the GLEIF Registration Agent Governance Framework, will be honored appropriately.


Referral program and partner terms

7. Referral partner guidelines

7.1. Marketing Outreach and Service Positioning

7.1.1. Partners should focus on engaging in ethical competition and refrain from targeting LEI renewals from other LOUs in their marketing campaigns. This approach helps maintain clarity for customers about which Registration Agent or LOU manages their LEI, as renewals can only be processed by the managing LOU.

7.1.2. It’s crucial for customers to be able to renew their LEI seamlessly to maintain the integrity of the LEI ecosystem. Here are specific guidelines:

7.1.2.1. Marketing efforts must comply with local laws on emailing and outbound calling, including adherence to privacy regulations such as GDPR.

7.1.2.2. Advertisements should not mention competing Registration Agents or LOUs in the ad copy or URL.

7.1.2.3. Clearly outline different service levels in your Terms and Conditions to ensure transparency.

7.1.2.4. Collaborate with LEI Register India marketing when introducing new LEI offerings to align on campaign strategies and activities. 

7.2. Avoid Subjective Service Comparisons

7.2.1. Avoid making subjective marketing comparisons that are not based on agreed-upon facts. Public comparisons should only involve verified factual data, such as pricing, and must be accurately maintained to prevent customer confusion and potential complaints.

7.3. Use of social media

7.3.1. Members of the LEI ecosystem actively monitor social media. Partners should not identify themselves as LEI Issuers or LOUs or claim accreditation by the GLEIF unless they are fully accredited LOUs. Instead, use social media to highlight new LEI use cases, share reports, and emphasize the positive impact of LEIs on the economy.

7.4. Use of logos and trademarks

7.4.1. The client grants LEI Register India rights to use their name and service marks in marketing materials, which includes identifying the client as a partner and outlining the scope of services provided.

7.4.2. The client also permits LEI Register India to display its logo and a hyperlink to its website. Press releases related to the partnership require mutual approval, which shall not be unreasonably withheld.

7.4.3. The use of GLEIF logos and the term “official” are strictly regulated, permissible only with an active GLEIF license, and must include the GLEIF logo.

7.4.4. Trademarks belonging to other legal entities must not be infringed. We also request that partners refrain from causing market confusion by including the legal names, brand names, or Trademarks of other LEI Register India partners or competing LOUs in advertising, i.e., Google Ads.

8. Referral program terms

8.1. The Partner earns a commission for each completed purchase made through their unique referral link. 

8.2. Commission rates are outlined in the Company’s commission structure. 

8.3. The Partner must complete three successful referrals to qualify for commission payments. 

8.4. Commissions apply to new and renewing clients who, before applying, have not been clients of LEI Register India.

8.5. Details on referral commissions can be specified by contacting LEI Register India. 

8.6. Commission payments require a signed Partner Agreement before payments can be processed.

9. Preconditions for referral partners

9.1. Before publicly marketing LEI services, the user must contact  LEI Register India for guidance on reselling LEIs. The guidelines include, but are not limited to “Registration Agents Governance Framework 1.1”. 

9.1.1 Users must share their domains and marketing materials with LEI Register India for approval.

9.1.2. Compliance with guidelines and terms is mandatory for maintaining access to Partner Portal services.


Legal and administrative

10. Intellectual property

10.1. The content and materials on the Partner Portal, including but not limited to text, graphics, logos, images, and software, are the property of LEI Register India or its licensors and are protected by intellectual property laws. You agree not to use, copy, or distribute any content from the portal without the explicit permission of LEI Register India.

11. Limitations of liability

11.1. LEI Register India shall not be held liable for any direct, indirect, incidental, or consequential damages arising out of your use or inability to use the Partner Portal, including but not limited to any errors, interruptions, or delays in accessing or using the portal.

11.2. The customer is fully responsible for any LEI-related activity connected to the legal entity they represent. LEI Register India is not responsible in any way for possible damage related to LEIs. LEI Register India operates as an LEI Registration Agent in the customer’s name and cooperates with GLEIF-accredited LOUs to order, renew, transfer, and update LEIs for their customers.

12. Termination of access

12.1. LEI Register India reserves the right to suspend or terminate your access to the Partner Portal at any time, without notice, if you violate these terms and conditions or engage in unlawful or harmful behavior.

13. Governing law

13.1. The laws of India govern these terms and conditions. Any disputes arising out of or relating to the use of the Partner Portal shall be subject to the exclusive jurisdiction of the courts in India.

14. Engagement of third-party service providers

14.1. Engagement of third-party service providers

In order to provide you with the best possible user experience and a high quality of services, LEI Register India may in certain cases engage third-party service providers in the provision of its services (i.e. outsourcing). This includes, for example, verification of data provided by or about a customer using automated tools, including AI-based solutions, web hosting, communication services, and other functions that are inextricably linked to the provision of LEI Register India’s services.

Third-party service providers may be engaged, for example, in the provision of following functions:

· Website hosting services: to maintain and host our online platform;

· Survey and feedback tools: to collect customer feedback and for market research purposes;

· Payment processing services: to process secure payment transactions;

· Communications services: to manage communication channels for customers such as email and messaging services.

14.2. Access to data by third-party service providers

In order to effectively provide services, third party service providers may require access to certain data that you have provided to us. This data may include company data, usage data and other information necessary for them to perform their services. The data access granted to these third-party service providers is strictly limited to the data necessary to perform their services and is subject to our privacy policy and applicable law.

14.3. Privacy and security

We are committed to maintaining the highest standards of data privacy and security. All third-party service providers are rigorously screened and bound by confidentiality agreements and privacy policies that are consistent with our corporate standards and legal requirements.

14.4. Your informed consent

By using LEI Register India’s services, the customer agrees to the transfer of data disclosed by the customer to our third-party service providers and cooperation partners for the purposes and in the manner described above, subject to the principles, requirements and limitations set out in sections 8.1.-8.3.

15. Modifications to terms

15.1. LEI Register India reserves the right to modify or update these terms and conditions at any time. When changes are made, the updated version will be posted on this page with the revised date. Your continued use of the Partner Portal after such changes signifies your acceptance of the updated terms.
